1. Agreement

In this Agreement, “Training Materials”, “Content”, and “Services” include all programs, courses, consulting engagements, documents, media, and digital downloads provided by Ultimahub.

“You” or “Customer” means any individual or organization that purchases, accesses, or uses Ultimahub’s Services or Content. “Ultimahub”, “we”, or “us” refers to Ultimahub and its authorized representatives. Ultimahub is registered in Taiwan and China.

By using our website or purchasing any Services or Content, you agree to these Terms. Ultimahub may update these Terms at any time and will post the revised version on this page.

2. Permitted Uses for Training Materials

Upon purchase or authorized receipt of Training Materials, Ultimahub grants you a non-exclusive, non-transferable license to:

• Deliver the training to participants within your own organization (in-person or virtual via Zoom, MS Teams, etc.).
• Reprint participant materials for distribution to attendees of your sessions.
• Edit and adapt materials to meet internal needs and add your own supplemental content.
• Apply your organization’s logo when delivering training internally.

All rights not expressly granted remain with Ultimahub or its licensors.

3. Exclusions

You may not:

• Resell, sublicense, or commercially distribute Ultimahub materials or derivatives.
• Share purchased materials externally with third parties not involved in your organization’s internal delivery.
• Convert materials into new products (e.g., e-learning courses, audio programs, translations) for commercial resale.
• Extract or reuse images, graphics, or media outside the intended training context.
• Reverse engineer or otherwise attempt to recreate the materials for redistribution.

4. Use of Website Content

Free resources on the Ultimahub website—such as articles, activities, and exercises—are provided for learning enhancement. Republishing, mirroring, or distributing any text, image, or media from our site online or in print, whether free or for commercial gain, is prohibited without prior written consent.

5. Copyright & Ownership

All intellectual property rights in the Services and Content are owned by Ultimahub and/or its licensors. You receive a limited license to use the Content as set out in these Terms. No part of any publication or program may be copied, stored, or transmitted except as expressly permitted above.

6. Delivery Policy

Digital products are delivered by email or secure link following successful payment. If you do not receive materials due to technical issues or email restrictions, contact info@ultimahub.com and we will arrange an alternative delivery method.

7. Cancellations & Returns

Digital training materials are considered delivered and opened at the time of purchase; therefore, refunds are not available once access is granted. Cancellation and rescheduling terms for live training or consulting are defined in the applicable proposal or service agreement.

8. Warranty Disclaimer

Services and Content are provided on an “as is” basis. While reasonable efforts are made to ensure accuracy and relevance, Ultimahub makes no warranties—express or implied—regarding completeness, fitness for a particular purpose, or that the Content will meet your requirements. You are responsible for how materials and guidance are applied within your organization.

9. Limitation of Liability

To the maximum extent permitted by law, Ultimahub and its affiliates will not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profit, data, or business. Ultimahub’s aggregate liability for any claim is limited to the amount paid by you for the specific Service or Content giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Ultimahub, its employees, trainers, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the Services or Content or breach of these Terms.

11. Training Material Suitability

Please review course outlines and objectives before purchase or booking. Ultimahub provides professionally curated programs; however, suitability depends on your specific needs and participant profiles.

12. Privacy & Data Protection

Ultimahub is committed to protecting your privacy and handling data in accordance with applicable laws. For full details on what we collect, how we use it, and your rights, please see our Privacy Policy.

13. Termination

This Agreement remains in effect until terminated. You may terminate by ceasing use of the Content and deleting all copies. Ultimahub may terminate immediately if you breach these Terms.

14. Governing Law

These Terms are governed by the applicable laws of the jurisdictions in which Ultimahub operates, including Taiwan and China. Disputes shall be resolved under the governing law of the relevant jurisdiction.
