1. Agreement Between User and Ultimahub
The Ultimahub website is comprised of various web pages operated by Ultimahub Ltd. Use of the site, as well as the purchase of any Training Materials or Consulting Services, is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Ultimahub website and services constitutes your agreement to all such terms.
2. Scope of Services: Training & Consulting
Consulting Services: Ultimahub provides professional advisory services, including but not limited to organizational audits, talent sustainability strategy, and custom coaching. These services are governed by specific Statements of Work (SOW) which are incorporated into these terms by reference.
Training Materials: Refers to all digital products, slide decks, manuals, and e-learning content purchased or downloaded. Users are granted a non-transferable license for internal corporate use, reprinting for participants, and modification to suit internal culture, provided Ultimahub’s authorship is acknowledged.
3. Modification of These Terms
Ultimahub reserves the right to change the terms, conditions, and notices under which the website and services are offered, including but not limited to the charges associated with consulting retainers or training licenses.
4. No Unlawful or Prohibited Use
As a condition of your use, you warrant to Ultimahub that you will not use the website or materials for any purpose that is unlawful or prohibited. You may not:
- Resell consulting frameworks or training materials as your own commercial product.
- Use the site in a manner that could damage, disable, or overburden Ultimahub’s servers.
- Reverse engineer any proprietary software or training tools provided during consultancy.
5. Use of Communication Services
The Ultimahub website may contain bulletin boards, chat areas, or community forums. You agree to use these Communication Services only to post messages that are proper and related to the professional development context. Ultimahub reserves the right to terminate your access to any Communication Service at any time without notice for any reason.
6. Consulting Engagement & Deliverables
For consulting engagements, Ultimahub will perform services with reasonable care and skill. Deliverables (reports, strategies) are for the client’s internal use. Ultimahub retains all rights to its pre-existing intellectual property, methodologies, and “know-how” utilized during the engagement.
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE ULTIMAHUB WEBSITE MAY INCLUDE INACCURACIES. ADVICE RECEIVED VIA CONSULTATIONS OR TRAINING SHOULD NOT BE RELIED UPON FOR LEGAL OR FINANCIAL DECISIONS WITHOUT INDEPENDENT VERIFICATION. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. IN NO EVENT SHALL ULTIMAHUB BE LIABLE FOR DIRECT, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OUR TRAINING OR CONSULTING SERVICES.
8. Termination / Access Restriction
Ultimahub reserves the right, in its sole discretion, to terminate your access to the website and the related services at any time. To the maximum extent permitted by law, this agreement is governed by the laws of Taiwan (R.O.C.), and you hereby consent to the exclusive jurisdiction and venue of courts in Kaohsiung, Taiwan in all disputes.
