Ultimahub Terms & Conditions

This agreement outlines the terms and conditions for members or customers of Ultimahub who acquire Training Materials through our website (www.ultimahub.com) or utilize the site.

AGREEMENT

In this agreement, “Training Material” or “Content” refers to the training products obtained from Ultimahub through e-commerce purchases, website downloads, and email delivery.

“You” and “The Customer” refer to the customer or client who purchases the Training Material.

“We,” “Us,” and “The Author” refer to Ultimahub.

By entering into this agreement, you are granted a non-transferable license to use the Training Materials for the Permitted Uses as defined below. Any use of the Training Materials outside the Permitted Uses is excluded and falls under the Exclusions. All other rights to the Training Materials, including copyright and other intellectual property rights, are retained by Ultimahub and/or its suppliers.

This Agreement remains effective until termination. You can terminate this Agreement by destroying the purchased Training Materials and any copies or archives of it, ceasing all use of the Training Materials. Ultimahub also reserves the right to terminate this Agreement with or without notice if you fail to comply with its terms.

Ultimahub reserves the right to revoke or amend the license granted by this Agreement and replace the content with an alternative for any reason. We may revise this Agreement at any time and at our sole discretion.

PERMITTED USES FOR TRAINING MATERIALS

As a user of Ultimahub’s Training Materials, you are granted the following rights (“Your Rights”):

• Unlimited reprinting of Training Materials for distribution to course participants.
• Unlimited delivery of the course to participants.
• Unlimited number of participants for the course.
• Unlimited rights to edit and modify the content of Training Material.
• Unlimited rights to add your own content to enhance the course.
• Ability to use your own logo on the Training Material when delivered to participants.

The rights mentioned above also include the use of training materials for virtual or remote training via videoconference facilities such as Zoom, MS Teams, etc.

EXCLUSIONS FOR TRAINING MATERIALS

The following exclusions apply to the use of Training Materials:

• Reselling the product under any circumstances is prohibited.
• Distributing the Training Material, for free or at cost, to others who may resell it for commercial advantage is not allowed.
• Converting Training Materials into other derivatives such as audio playbacks, translations, and online e-learning products, and reselling them as new training material for commercial gain is prohibited.
• Sharing Training Materials obtained from Ultimahub with other trainers and training course designers, except for team members within an organization involved in course design and delivery, is not allowed without additional licenses.
• Using images included in the Training Materials outside the provided context without explicit permission, such as extracting images for other purposes or reverse engineering the content, is prohibited.

USE OF WEBSITE CONTENT

The free training games, energizers, icebreakers, exercises, articles, and guidelines presented on the Ultimahub website are provided for enhancing your training courses or personal learning. Republishing any content from the site (text or images) elsewhere online or in print, as part of a product, for product advertisement, commercial gain, or free, is strictly prohibited.

COPYRIGHT

No part of Ultimahub publications may be reproduced, stored in a retrieval system, reverse engineered, create derivative works, or transmitted in any form or by any means without the prior permission of the Author (publisher), except for those stated under “Permitted Uses” for corresponding products.

Ultimahub Ltd. asserts its right to be identified as the owner of this work in accordance with the Copyright, Designs and Patents Act 1988. The rights to images or content are not transferred, and the ownership of the Training Materials and any other products remains with Ultimahub. You are licensed to use the product as per the conditions set in this document.

DELIVERY POLICY

Upon successful checkout via our e-commerce system, you will immediately receive emails containing attachments of the purchased products. In rare cases where email delivery is interrupted due to individual email restrictions, server issues, or firewall settings, please contact info@ultimahub.com, and we will resend the email in a different format or to an alternate email address.

CANCELLATION AND RETURNS

Training Material purchased online through our website is considered opened at the time of purchase. In accordance with UK’s Department of Trade and Industry’s laws on Distant Selling, cancellation rights for these products end when the service’s performance starts. Returns are only accepted for unopened products, following industry practices in the software industry. Therefore, no returns are accepted after the time of purchase. You will have the opportunity to examine the syllabus and general content of the course material before proceeding with the purchase.

WARRANTY

The Content is provided in accordance with the agreement outlined in this document. While reasonable efforts have been made to ensure the accuracy of the Content, Ultimahub does not warrant its accuracy.

Other than what is expressly provided above, the content is provided “as is” without representation, warranty, or condition of any kind, either express or implied, including, but not limited to, merchantability or fitness for a particular purpose. Ultimahub does not represent or warrant that the content will meet your requirements. The entire risk as to the quality and performance of the content lies with you.

YOUR INDEMNIFICATION

You agree to indemnify, defend, and hold Ultimahub, its affiliates, its content providers, and their respective directors, officers, employees, shareholders, partners, and agents (collectively, the “Ultimahub Parties”) harmless from and against any and all claims, liability, losses, damages, costs, and expenses (including reasonable legal fees on a solicitor and client basis) incurred by any Ultimahub Party as a result of or in connection with any breach or alleged breach by you or anyone acting on your behalf of any of the terms of this Agreement.

LIMITATION OF LIABILITY

In no event shall Ultimahub or any of its affiliates or content providers be liable for any incidental, indirect, punitive, exemplary, or consequential damages whatsoever (including damages for loss of profits, interruption, loss of business information, or any other pecuniary loss).

TRAINING MATERIAL SUITABILITY

It is the Customer’s responsibility to review the range of training courses provided by Ultimahub before making a purchase to ensure that the selected courses meet the required criteria. While Ultimahub provides professional course material based on comprehensive research, care, and skill, no liability is accepted if the selected program is unsuitable for you or your participant requirements.

ACKNOWLEDGEMENT

By agreeing to this agreement, you acknowledge that you have read and understood its contents, had an opportunity to seek independent legal advice, and agree to be bound by the terms and conditions outlined herein. This agreement constitutes the complete and exclusive statement of the agreement between you and Ultimahub, superseding any prior proposals or agreements, whether oral or written, and any other communications related to the subject matter of this agreement.
